These Terms of Service ("Terms") govern your use of the corporate compliance data monitoring services provided by zetatrixa AS ("zetatrixa", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our services. These Terms apply to all users of our compliance monitoring systems, including clients, authorised users, and website visitors.

Service Description

zetatrixa provides corporate compliance data monitoring systems designed to help businesses monitor, track, and report on regulatory compliance requirements. Our services include real-time monitoring, automated reporting, data integration, and risk assessment tools specifically designed for European regulatory environments.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to our clients.

User Obligations

When using our services, you agree to:

• Provide accurate and complete information when creating accounts or using our services
• Maintain the security and confidentiality of your account credentials
• Use our services only for lawful purposes and in compliance with applicable laws
• Not interfere with or disrupt the operation of our services

Intellectual Property

All content, software, and materials provided through our services, including but not limited to text, graphics, logos, software code, and compliance monitoring algorithms, are the intellectual property of zetatrixa or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our services for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on our proprietary materials without our express written consent.

Data and Confidentiality

We understand that you may provide sensitive business and compliance data through our services. We are committed to maintaining the confidentiality and security of your data in accordance with our Privacy Policy and applicable data protection laws.

You retain ownership of your business data and grant us the necessary rights to process and analyse this data to provide our compliance monitoring services. We will not use your data for any purpose other than providing our services unless required by law or with your explicit consent.

Payment Terms

Payment for our services is due in accordance with the terms specified in your service agreement. All fees are exclusive of applicable taxes, which you are responsible for paying. We reserve the right to suspend or terminate services for non-payment of fees.

Refunds, if applicable, will be processed in accordance with the specific terms outlined in your service agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, zetatrixa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you for our services in the twelve months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Service Availability

While we strive to maintain high service availability, we do not guarantee that our services will be available at all times. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of planned maintenance that may affect service availability.

Governing Law

These Terms are governed by and construed in accordance with the laws of Norway. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Norwegian courts, with venue in Trondheim, Norway.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Termination

Either party may terminate the service agreement in accordance with the termination provisions specified in your individual service contract. Upon termination, your access to our services will cease, and we will handle your data in accordance with our data retention policies and applicable law.

We reserve the right to immediately suspend or terminate your access to our services if you breach these Terms or engage in any activity that we reasonably believe may harm our systems or other users.

Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide reasonable notice of material changes to these Terms.

Your continued use of our services after any changes to these Terms constitutes acceptance of the updated Terms.
